1. Agreement

These Terms of Service ("Terms") are a contract between you and Ethereal Labs Private Limited, a company incorporated in India ("Ethereal Labs", "we", "us"). They govern your use of the TokiToki mobile apps, website, interactive stories and related services ("TokiToki").

By creating an account or using TokiToki, you agree to these Terms. If you do not agree, do not use TokiToki. Our Privacy Policy explains how we handle your personal data. If you use the TokiToki app on a mobile device, the End User License Agreement also applies.

2. Eligibility

You must be at least 13 years old to use TokiToki, or at least 16 years old if you live in the European Economic Area, the United Kingdom or Switzerland. If you are under the age of majority where you live (18 in India), you confirm that your parent or guardian has reviewed and agreed to these Terms and, where the law requires, consented to our processing of your personal data.

Some stories have a higher age rating and may be restricted based on the age you give us. You must not use TokiToki if the law prohibits you from doing so.

3. Your account

You can sign in with Google, Apple, Facebook or your phone number. You must give accurate information and keep your sign-in method secure. You are responsible for activity on your account unless it happened because of our failure to take reasonable care. Tell us promptly at admin@ethereallabs.in if you think someone else has accessed your account.

Your account is personal to you. You may not sell, transfer or share it. You can delete your account at any time; see Delete your account.

4. Stories and our content

TokiToki's stories, episodes, scripts, branching paths, videos, images, music, characters, artwork, software, logos and trademarks ("Our Content") are owned by Ethereal Labs or our licensors and are protected by copyright, trademark and other laws. Watching or unlocking a story gives you access to it, not ownership of it.

Stories can have choices, alternate paths and multiple endings. Which paths are available may depend on your earlier choices or, once paid features launch, on what you unlock. We may add, edit or remove stories and episodes from time to time, for example for editorial, licensing or legal reasons.

5. Your licence to use TokiToki

While you comply with these Terms, we give you a personal, limited, non-exclusive, non-transferable and revocable licence to access and use TokiToki and Our Content for your own private, non-commercial entertainment.

6. What you must not do

You must not:

• copy, download, record, screen-capture for redistribution, re-upload, sell or publicly show Our Content, except as the law expressly allows;
• bypass or interfere with any security, access control, age restriction or content protection;
• reverse engineer, decompile or modify the apps, except as the law expressly allows;
• use bots, scrapers or other automated means to access TokiToki or collect data from it;
• use TokiToki to break the law, infringe anyone's rights, or harass, impersonate or defraud anyone;
• upload malware, or disrupt or overload our systems;
• create accounts to evade a suspension, or buy, sell or share accounts;
• exploit bugs or errors to obtain coins, unlocks or other benefits, and you must tell us if you find one;
• use TokiToki or Our Content to train artificial intelligence or machine learning models.

7. Subscriptions, coins and unlocks

Paid features are not yet available in TokiToki. This section applies once we offer them. We will show you the price, what is included, and any billing terms before you buy.

7.1 Where you pay

Purchases in the iOS app are processed by Apple, and purchases in the Android app by Google Play. Their terms, payment methods and refund processes apply to those purchases. If we offer purchases on our website, they will be processed by our payment provider and we will show you the applicable terms at checkout. Prices may include applicable taxes such as GST.

7.2 Subscriptions

• Subscriptions renew automatically at the end of each billing period at the then-current price unless you cancel at least 24 hours before the period ends.
• You can cancel in your Apple ID settings (iOS), in Google Play → Payments & subscriptions (Android), or in your account settings for web purchases. Cancelling stops the next renewal; you keep access until the end of the period you paid for.
• If we offer a free trial, we will say how long it lasts and when you will be charged. Unless you cancel before the trial ends, the subscription starts and you will be charged.
• If we change a subscription price, we will give you notice in advance as required by law and the app store, and you can cancel before the new price applies.
• Deleting your account or the app does not cancel a subscription billed by Apple or Google. Please cancel it with them.

7.3 Coins and unlocks

• Coins (or any other in-app currency) and unlocks are a limited licence to access specific content or features in TokiToki. They are not money, have no cash value, and cannot be exchanged for cash, transferred to another account or sold.
• Coins you buy do not expire while your account is active. Free or bonus coins may have an expiry date, which we will show you.
• Once you use coins to unlock content, the coins are spent. Unlocked episodes stay available on your account for as long as we offer that story in TokiToki.
• If we permanently close TokiToki, we will give you reasonable notice and, where the law requires, refund unused purchased coins.

7.4 Refunds

Refunds for purchases made through Apple or Google are handled by them under their policies. For purchases made directly with us, contact us at admin@ethereallabs.in. Nothing in these Terms affects any right to a refund, repair or replacement that consumer law gives you, including where a purchase does not work as described.

8. Mature themes

TokiToki stories are fiction. Some deal with romance, conflict, violence, crime, or other mature or sensitive themes. We show age ratings and content notes where appropriate, but you are responsible for deciding which stories suit you. Characters and events in stories do not represent our views. If you find content you think is illegal or harmful, please report it to admin@ethereallabs.in.

9. Third-party services

TokiToki works with third-party services such as Google, Apple and Facebook sign-in, and the app stores. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.

10. Changes to TokiToki

We may update, improve or change TokiToki, including adding or removing features, for security, legal, technical or editorial reasons. If a change significantly reduces what you have paid for, we will tell you in advance and, where the law requires, give you options such as a refund or cancellation.

11. Suspension and termination

You can stop using TokiToki and delete your account at any time.

We may suspend or close your account, or restrict access to TokiToki, if you seriously or repeatedly break these Terms, if we must do so by law, or to protect users or our services. Where reasonable and lawful, we will tell you why and give you a chance to respond. If we close your account without good reason, we will refund any unused paid content or subscription time as required by law.

Sections 4, 6, 12, 13, 14 and 16 continue to apply after your account ends.

12. Disclaimers

We work hard to keep TokiToki running well, but we provide it "as is" and "as available". To the extent the law allows, we do not promise that TokiToki will always be available, uninterrupted, error-free or compatible with every device. Nothing in these Terms excludes any guarantee, warranty or right that you have under consumer law and that cannot be excluded.

13. Limitation of liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be limited or excluded by law.

Subject to that, and to the extent the law allows:

• we are not liable for losses that were not reasonably foreseeable, or for loss of business, profits or data that you could reasonably have avoided;
• our total liability to you for all claims relating to TokiToki is limited to the greater of (a) the total amount you paid us in the 12 months before the claim arose and (b) INR 5,000.

If you are a consumer in the EEA or the UK, we are responsible for foreseeable loss and damage caused by our breach of these Terms or our failure to use reasonable care and skill.

14. Governing law and disputes

These Terms are governed by the laws of India. The courts in Bengaluru, Karnataka have jurisdiction over disputes, unless the law of your country gives you the right to bring a claim in your local courts or keeps the protection of mandatory local consumer laws. Nothing here prevents you from contacting a consumer protection authority or regulator.

Before starting legal proceedings, please contact us at admin@ethereallabs.in so we can try to resolve the issue informally.

15. Changes to these Terms

We may update these Terms, for example when we launch paid features or for legal reasons. We will post the new version here with a new "Last updated" date. For significant changes, we will notify you in the app or by email before they take effect. If you keep using TokiToki after the changes take effect, the new Terms apply. If you do not agree, you can stop using TokiToki and delete your account.

16. General

• These Terms, together with the Privacy Policy, the EULA and any rules shown to you for a specific feature, are the whole agreement between you and us about TokiToki.
• If any part of these Terms is found unenforceable, the rest stays in effect.
• If we do not enforce a right immediately, we can still enforce it later.
• We may transfer our rights and obligations under these Terms to another company, for example in a merger or acquisition, if that does not reduce your rights. You may not transfer yours.
• If these Terms are translated, the English version prevails where the law allows.
